WorkInWeb Software License Agreement
1. Definitions
- “Software” refers to the website, landing page, or web application code developed by WorkInWeb
- “Client” refers to the individual or entity purchasing the Software
- “Services” refers to additional services such as hosting, maintenance, or support
- “Effective Date” refers to the date of final delivery of the Software
2. License Grant
2.1. Upon full payment, WorkInWeb grants the Client a perpetual, non-exclusive, worldwide license to:

Use, modify, and distribute the Software

Create derivative works based on the Software

Sublicense the Software as part of Client’s business operations
2.2. The Client receives full ownership of the final code delivered.
3. Intellectual Property
3.1. The Client acknowledges that:
- Third-party components (frameworks, libraries, etc.) remain subject to their respective licenses
- WorkInWeb retains the right to reuse and repurpose generic components and methodologies
- The Client receives ownership of unique design elements created specifically for their project
4. Warranty and Liability
4.1. The Software is provided “AS IS” without warranty of any kind, express or implied.
4.2. WorkInWeb warrants that:

The delivered Software will function as specified in the project requirements for 30 days after delivery

The Software does not infringe on any third-party intellectual property rights
4.3. WorkInWeb shall not be liable for:

Any modifications made to the Software by the Client or third parties

Issues arising from the Client’s hosting environment or third-party services
-
Consequential, incidental, or special damages arising from the use of the Software
5. Additional Services
5.1. Hosting Services:

Are provided on a month-to-month basis

Require payment of the agreed monthly fee

Will be terminated after 2 months of non-payment

Can be terminated by either party with 30 days written notice
5.2. Maintenance and Support:

Are not included unless explicitly agreed upon in a separate service agreement

Must be contracted separately from the Software development

Are subject to separate terms and conditions
6. Post-Delivery
6.1. After final delivery:

WorkInWeb’s responsibility for the Software ends

Any modifications or additional work require a new agreement

Technical support is not included unless contracted separately
6.2. The Client is responsible for:

Maintaining and securing the Software
-
Backing up all data and code
-
Compliance with applicable laws and regulations
-
Payment of any third-party service fees
7. Termination
7.1. This license agreement is perpetual for the Software code.
7.2. Additional services may be terminated:
- By either party with 30 days notice
- Immediately by WorkInWeb for non-payment
- Immediately for breach of agreement terms
8. General Provisions
8.1. This agreement represents the entire understanding between parties regarding the Software.
8.2. Any disputes shall be resolved in the courts of Miami, Florida, under Florida law.
8.3. If any provision is found to be unenforceable, the remaining provisions remain in effect.
9. Acceptance
Use or deployment of the Software constitutes acceptance of these terms.
